3. Account Registration & Security

To use our Services, you must:

Be 18 years or olderProvide accurate and complete registration informationMaintain the confidentiality of your login credentialsBe responsible for all activity under your account

You agree to notify us immediately of any unauthorized use or breach of security.

4. User Responsibilities

You agree not to:

Use the Services for unlawful, abusive, or fraudulent purposesSend unsolicited or spam communications via SMS or emailUpload malicious code, viruses, or engage in hacking or scrapingInfringe on the intellectual property of BrokerSoft.ai or othersAbuse integrations with third-party services (e.g., Twilio, Google, Facebook)

You are solely responsible for the legality, reliability, and appropriateness of the data you store and manage within BrokerSoft.ai.

5. SMS & TCPA Compliance

By using BrokerSoft.ai’s SMS features, you agree to comply with the

Telephone Consumer Protection Act (TCPA)

and all applicable laws governing text message communications.

You are solely responsible for:

Obtaining prior express written consent from each recipient before sending SMS messagesProviding clear opt-out instructions in your messages (e.g., "Reply STOP to unsubscribe")Honoring opt-out requests in a timely mannerMaintaining records of opt-in and opt-out statusesUsing only compliant language, content, and timing of messages

BrokerSoft.ai provides the tools to enable TCPA compliance but does not assume responsibility for your individual use. Misuse of SMS tools may result in suspension or termination of your account.

6. Payment Terms

BrokerSoft.ai is a subscription-based service. By subscribing, you agree to:

Pay all applicable fees associated with your selected planAllow BrokerSoft.ai to charge your payment method on a recurring basisAccept that all payments are non-refundable unless otherwise stated

Failure to pay may result in suspension or termination of your account.

7. Cancellations & Refunds

You may cancel your subscription at any time via your account dashboard or by emailing

Refunds are not guaranteed, but may be issued on a case-by-case basis solely at our discretion.

8. Termination

We reserve the right to terminate or suspend your account immediately, without prior notice, if:

Upon termination, your access to the platform will be revoked and your data may be deleted.

9. Intellectual Property

All content, software, branding, and materials provided within BrokerSoft.ai are the intellectual property of BrokerSoft.ai or its licensors. You may not reproduce, distribute, or modify any content without express written permission.

10. Data Ownership & Usage

You retain ownership of the customer and lead data you enter into BrokerSoft.ai. However, you grant BrokerSoft.ai the right to process and access that data solely for the purpose of providing our Services.

12. No Warranties

BrokerSoft.ai is provided “as-is” and “as available.” We make no warranties regarding:

Uptime or availabilityAccuracy of analytics or reportingCompliance guarantees for third-party integrations (e.g., TCPA, CAN-SPAM)

Use of the platform is at your own risk.

13. Limitation of Liability

To the fullest extent permitted by law, BrokerSoft.ai will not be liable for:

Any indirect, incidental, punitive, or consequential damagesLoss of profits, data, business opportunities, or reputationDamages resulting from unauthorized access or use of your data

Our total liability will not exceed the amount you paid us in the three (3) months prior to the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless BrokerSoft.ai, its officers, employees, partners, and affiliates from any claims, damages, losses, or liabilities arising out of:

15. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Miami-Dade County, Florida.
